Amending a Contract from an Opportunity

  • The original opportunity is associated with a Conga CLM contract.
  • The original contract is in the Activated status before you create an amendment.
  • The previous (parent) opportunity and amendment opportunities belong to the same account.

A contract amendment is a formal modification to an existing, activated agreement. In Conga CLM, amendments allow organizations to update contract terms, pricing, scope, or other provisions without replacing the original agreement. The amendment preserves the full history and lineage of the original contract while capturing the changes in a new, related agreement record.

When you initiate an amendment from Dynamics 365, Conga CLM creates a new Amendment Contract record that inherits terms from the Original Contract.

  1. Create an opportunity for contract amendment.
Note: Ensure that the amendment opportunity is associated with the same account as the previous opportunity.
  2. In the Conga CLM Details section, in the Request Type field, select Amendment.
  3. In the Previous Opportunity field, search for and select the original opportunity.
Contract number associated with the previous opportunity is displayed in Previous Contract Number.
  4. Save the opportunity.
Tip: The Amend Contract button is available above the opportunity details.
  5. Click Amend Contract.
The system creates an amended contract and opens the amended contract details page. The amended contract is assigned the next version number of the previous contract.
  6. When you sync line items on an amended contract, line items inherited from the parent (original) contract are preserved; only the latest opportunity products are added or updated.
  7. Return to the opportunity. The CLM Details section displays the amended contract number and hyperlink.
A new amended contract is created and linked to the amendment opportunity.

The system automatically updates the statuses of both records:

  • Original Contract: Status changes to Being Amended (Status Category: In Effect)

  • Amendment Contract: Status is set to In Amendment (Status Category: Request)

The amended contract number is automatically populated in the CLM Details section, and users can navigate to the contract directly from Microsoft Dynamics 365 without leaving the application.

The Amendment Contract then follows the standard contract lifecycle, just like a new contract.
