Use Case: Creating a Perpetual Agreement

  • An account for the contractor's company is created in Salesforce.
  • The contract employee is designated to serve the company for a long-term period.

Business Context

Organizations sometimes engage contract employees on a long-term basis, where the intent is to formalize the employment relationship without a fixed end date or renewal cycle. A perpetual agreement removes the overhead of repeated renewals and provides a stable, continuous contract foundation for such arrangements, simplifying contract management and reducing administrative effort over time.

Overview

This use case describes how a contract administrator or an authorized HR representative creates a perpetual agreement in Conga CLM for Salesforce between a company and a contract employee. A perpetual agreement has no end date and does not require further renewal.

This use case provides an example of how to create a perpetual agreement. Your implementation may vary. For more about agreements, see Agreement Lifecycle Management.

Scenario

A contract administrator at a technology services company needs to onboard a contract employee on a long-term basis. Rather than setting a fixed contract term that requires periodic renewal, the contract administrator decides to use a perpetual agreement. The contract administrator creates the agreement record, associates it with the contractor's account, sets the start date, and selects the Perpetual option to indicate that no end date or renewal is required.
Actors
  • Contract Administrator: A contract administrator at a technology services company who creates and manages agreement records in Conga CLM for Salesforce. The contract administrator initiates the perpetual agreement, associates it with the relevant account, sets the start date, and configures the terms to reflect an open-ended engagement.
  • HR Representative: An authorized HR representative at the company who may alternatively perform the contract creation steps, depending on the organization's internal workflow and access permissions in Salesforce.
  • Contract Employee: An independent consultant or long-term contractor engaged by a technology services company on an open-ended basis, for whom the perpetual agreement is being created.
  • Conga CLM for Salesforce: The Conga product that processes the agreement record creation, applies the perpetual terms configuration, and stores the agreement without an end date or renewal schedule.
  1. Go to the Agreement tab and click New.
    The Select Agreement Record Type page is displayed.
  2. Select an option from the Record Type of new record drop-down list, — for example, select Services Agreement, and click Continue.
    The New Agreement page is displayed.
  3. Click Continue.
    The Agreement Edit page is displayed.
  4. Enter agreement name in the Agreement Name field. For example, enter a name that identifies the contractor and the nature of the engagement, such as Long-Term Services Agreement.
  5. Select an account from the Account picklist. For example, select the contractor's company account.
  6. Select Start Date. For example, select the date on which the contractor's engagement begins.
  7. Select the Perpetual check box in Terms and Renewals section.
  8. Enter or select values in the required fields, marked in red. For example, set the Contract Owner, Agreement Category, and Legal Entity fields as applicable to your organization.
  9. Click Save.
  • The perpetual agreement is created in Conga CLM for Salesforce.
  • The agreement is associated with the contractor's account and reflects the specified start date.
  • No end date is set and no renewal is required, accurately reflecting the long-term, open-ended nature of the contractor's engagement.

After the agreement is created, the contract administrator can take the following actions, depending on the organization's contract workflow:

  • Generate contract documents: Produce the formal consulting agreement document from a pre-approved template.
  • Initiate the approval process: Route the agreement to the legal team and senior management for review and approval.
  • Send for signature: Once approved, send the agreement to the contractor via eSignature for execution.

Similarly, you can create other perpetual agreements, for example, a software license agreement with an indefinite term or a vendor maintenance contract with no scheduled expiry, where no end date or renewal cycle is applicable.
