The Doc Clauses tab lists all smart clauses in the contract document. You can take the following actions on clauses in the agreement:

To view and modify clause

  1. Open a contract.
  2. Click the Unlock () icon and select Acquire. Upon locking the contract, the Data option becomes enabled.
  3. Go to Data > Doc Clauses to view the list of all the smart clauses inserted in the document.
  4. Use the Search box to find a clause by keyword, and press Enter to display a list of smart clauses.
  5. Click on a clause name in the list. The document scrolls to highlight the selected clause in the contract document.
  6. To change the clause content, place your cursor in the clause's content control in the document, and make changes. The Modified tab lists all the smart clauses whose content have been changed.
  7. Check the document in. A current instance of the contract document is opened.

The changed clause content are updated in the agreement document. If you choose to reconcile clause during check-in, they will also be changed on the agreement record.

To delete a clause from a Contract

  1. Open a contract.
  2. Click the Unlock () icon and select Acquire. Upon locking the contract, the Data option becomes enabled.
  3. In the Contracts pane, go to Data > Doc Clauses. The Doc Clauses tab lists all the smart clauses present in your contract.
  4. Select the clause from the list and click the More () icon adjacent to the clause name.
  5. Click Delete. The clause is marked with a strikethrough in the Doc Clauses tab to denote that it has been marked for deletion.
  6. Check the document in. A current instance of the contract document is opened. In this document, the deleted clause will be removed from the available clauses list and the clause content will be removed from the contract document. If you choose to reconcile clause during check-in, a Deleted entry is recorded in the Contract Clause related list on the contract record in CLM.

To undo a deleted clause

  1. Open a contract.
  2. In the Contracts pane, go to Data > Doc Clauses.
  3. The Doc Clauses tab lists all the smart clauses present in your contract. The deleted clause is marked with a strikethrough.
  4. Click the More () icon adjacent to the deleted clause name and click Undo Delete.

Behavior and Recommendation

  • You can delete a clause manually by pressing the Delete key on the keyboard. The clause is deleted immediately and is not listed in the Doc Clauses list. 
  • You can insert and delete the same clause from a contract before checking it in.
  • When you delete or remove a clause before checking it in, it is removed from the Doc Clauses list. However, when you check the document in and select Reconcile, the deleted clause will not be considered for reconciliation.
  • You can perform an Undo Delete during the same session in which you deleted a clause.
  • When you delete bulleted, numbered or sub-numbered clauses, their formatting is not removed from the agreement.
