During the negotiation process, you may find a section of text that you would like to mark as smart. You can mark document text as a clause when:

  • A third-party offline contract created or imported into the contract record contains language to be tagged as clauses.
  • An external party adds contract language that constitutes a clause.

Best Practices

  • Avoid marking a clause within another clause.
  • Always select full paragraphs or multiple full paragraphs; avoid mixing partial and full paragraphs.
  • Do not mark clauses if they contain smart fields.
  • Marking a clause that starts or ends with a table as smart prevents it from being deleted.

To mark a clause in an agreement

  1. Open the contract document version you will work on.
  2. Highlight the content of the contract to be marked as a clause.
  3. You can mark the clause from the Doc Clauses tab. If there are no smart clauses in the document, click the Mark as Clause button. If smart clauses are present, click the Mark button from the top of the clause list.
  4. In the Mark as Clause form, specify the following fields. The clause will be automatically marked as a one-off instance of the clause for this contract.

    Sub CategorySelect a subcategory for your clause. Options in the list will change based on the category you selected.

  5. Click Save to apply clause properties to the highlighted content and mark the content as a smart clause.

You will get a success message and the selected clause content in the contract will be enclosed within double curly braces. The content adopts the properties of the smart clause on the agreement record.

After marking the clause, go to the Data > Doc Clauses tab to confirm that the clause is now recognized in the document. When you check in the document, any smart clauses can be reconciled to the contract, and the inserted clause is added to the Contract Clause related list on the contract record.

To unmark clause

  1. Open a contract.
  2. Go to Data > Doc Clauses. The Doc Clauses pane lists all smart clauses in your contract. Use the Search box to find a specific clause by keyword.
  3. Select the clause from the list, click the More () icon adjacent to the clause name, and click the Unmark option. A success message appears.

The smartness property of the clause is removed, and the double curly braces are taken out from the text content in the contract document.
