Fundamental Terms

The following fundamental terms are described here, with data types mentioned parenthetically (constants and user inputs are set in monospace  type). 

Document Type

The document type indicates the type of contract. Common types for an out-of-box installation are listed here, but not all possible values are listed, because the list of document types and their definitions can be customized. During onboarding, you can work with Conga to configure available document types and map your agreement names to the relevant document types.

Agreement Title

The given title of the agreement (text). For example: Amendment #5 to the Acme Master Services Agreement 

Related Master Agreement Name

If applicable, this is the related agreement title directly referenced in the contract (text). 

Parties

The contracting parties to the agreement, as well as other (non-party) entities named in the agreement (text).

Effective Date

The effective date of the agreement (date or TBD ). Displays "TBD" if the contract is effective on signature but at least one required signature is missing.

Commencement Date

The commencement date of an agreement's term, if different from the effective date (date or TBD). If the commencement date is calculated against outside information (such as a go-live date, a signed order form, a delivery of premises, etc.), "TBD" is displayed.

Expiration Date

The current expected expiration date of the agreement in real time (date or TBD). If the original expiration date is amended by a separate agreement, it is not reflected here. 

Original Expiration Date

The expiration date, if applicable, of the initial term of the agreement (date).

Renewal Type

The renewal provision that applies to the term of the agreement.

Values:

  • Auto
  • Fixed
  • Option
  • Perpetual

Renewal Period

The duration of subsequent renewals after the initial term (days/weeks/months/years).

Renewal Limit

The number of times an agreement can renew for the stated renewal period (number).

Renewal Notice

The deadline or advance notice requirement to exercise an option to renew.

Values:

  • Date
  • Duration (in days/weeks/months/years)
  • At any time
  • Upon written notice

Termination Notice

The deadline or advance notice requirement to halt an auto-renewal, or the time required to give notice of termination for convenience.

Values:

  • Date
  • Duration (in days/weeks/months/years)
  • At any time
  • Upon mutual agreement
  • Upon written notice

Notice Clause

Indicates whether the document contains a notice clause. If a notice clause is present, clicking the term brings you to the notice clause text, which describes how legal notices must be delivered to be valid.

Possible values are "Present" and "Not Provided." 

Signatures

This indicates that a contract either has or has not been signed by all required parties. Missing signatures in any part of the contract are taken into account.

Flags

A note (flag) attached when issues with the document are detected.

Values:

  • Ambiguous Text
  • Missing Signature
  • Non-English
  • Unclear Text
  • Non-contractual

Notice Address

This takes you directly to the address(es) provided by any notice clause. If no notice clause is provided, this captures any address listed for a party in the body of the contract, header, or footer.

Values:

  • Physical address
  • Email address
  • Phone number

Key Terms

Key terms are handled very similarly to fundamental terms. While fundamental terms are extracted from a list of non-discretionary provisions, key terms are from a list of optional contract provisions from which the admin selects meaningful terms for the provided document type. All contracts have signatures and dates. Because not all contracts have a "most favored nation" clause or a drug screening provision, use of such provisions is discretionary, and must be mapped to the contract type by the admin.
