Overview

The Contract Binders feature enables you to create associations across documents, and to create searches based on these associations. You can search and analyze this common set of terms and contractual associations to find the contract's current effective terms. This means you can search and find the terms of the contract that apply now, not when it was signed.

A contract binder is not a folder: consider it a collection of files defined by assigned associations. Files in a contract binder can reside in multiple file system folders.

Documents of the same type (for example, MSAs or SOWs with multiple amendments) may be stored in the order extracted. These files can be associated with their respective main files (the MSA or SOW) by creating a binder rather than by creating folders and moving files. Creating a binder with contractually associated files also allows Contract Intelligence to show the effective terms of a contract when searching from Insights.

Once a binder is created with associated files, you can analyze, compare, and update common terms to reflect the latest terms of a contract. You can create a new contract binder based on a master agreement and then associate other documents (amendments, annexes, subcontractor agreements, invoices, etc.) with the master agreement in its binder. You can constrain subsequent searches to the binder and associate extracted terms from agreements in the binder. 

For example, if an MSA has an amendment that changes its payment terms, you can create a binder with the MSA (main file) and its amendments and exclude the MSA's outdated payment terms from the found payment terms to reflect only the latest terms of the contract.

To help you create binders for large volumes of extracted documents, the Suggested Binders feature suggests binder associations daily based on the relationships between extracted documents. 

The Contract Binders feature is enabled on request. If you don't see the Contract Binders feature in your Contract Intelligence (Standalone) account, discuss it with your Conga Customer Success representative.
