Uploading a Third-party Paper

  • The administrator has turned the Enhanced Authoring Flow toggle button in CLM Feature Management, on.

  • You have action permission to upload a third-party paper with Discovery Agent option.

The enhanced authoring flow provides you an enhanced experience to upload third-party papers. You need to provide key contract metadata and upload the contract document. If the Discovery Agent toggle is turned on, the extractions takes place through Discovery Agent with a default worksheet based on the contract type. You can change the worksheet selection if needed.
  1. Open Contract Apps and navigate to My Contracts or All Contracts.
  2. Click Create New Contract.
    This raises a pop-up wth contract creation options.
  3. Select Upload Third-Party Paper.
    1. To create a contract from a third-party paper using Discovery Agent for data extraction from the third-party paper, turn the Discovery Agent toggle on. Or, to create a contract from a third-party paper without Discovery Agent data extraction, turn the Discovery Agent toggle off.
  4. Click Next.
  5. Select Contract Type and provide other details for the contract.
  6. Click Next.
  7. Drag and drop or browse to upload the third-party paper file.
    Note: During import, a duplicate file check is made within all the files uploaded through CLM and processed through Discovery AI. An upload pop-up dialog shows when a duplicate file is discovered.
  8. Select a worksheet that should be used for data extraction. This overrides the default worksheet configured in Discovery Agent.
  9. Click Create.

The contract record is created. You are redirected to the contract's Document tab. If you selected Discovery Agent option, the Discovery Agent extraction runs in the background and and you can monitor the progress from the Documents tab. You receive an email informing successful extraction and an option to download the MS Word document. You can open the document in X-Author, review the import results and proceed with working on the document. For information, see Reviewing Import Results .

Use Case: Uploading a Client-Drafted Master Service Agreement using Discovery Agent

Business Context: Third-party contracts received from external entities (customers, vendors, partners) often arrive as Word or PDF documents that contain essential contract terms. Instead of manually re-entering these details into the CLM system, users leverage the enhanced upload experience with the integrated Discovery Agent to import and extract contract data efficiently.

Overview:A Legal Operations Manager at a SaaS company receives a Master Service Agreement drafted by a large enterprise client. The client insists on using their own paper, and the agreement runs over 20 pages with custom indemnification and liability clauses. Rather than retyping the contract into Conga CLM, the user uploads the client's document directly, allowing Discovery Agent to extract key metadata — parties, effective date, renewal terms, and risk-relevant clauses. The contract is routed for internal review with all extracted fields pre-populated, saving the legal team hours of manual data entry and ensuring accurate record-keeping from day one.
