New Features

The following features are new to Conga CLM on Conga Platform in this release.

Introduced Clause Library

A clause library serves as a repository for clauses that can be accessed and utilized throughout the contract management process. The following types of clauses are available within the clause library:

  • Web standard clause
  • Web alternate clause
  • X-Author standard clause
  • X-Author alternate clause

Within the clause library page, you can:

  • View a list of clauses sorted by their last modification date.
  • Search for clauses by their name, keywords, or specific criteria.
  • Access the text and details of a selected clause.
  • Switch between various versions of a clause and compare them.
  • View alternate clauses associated with a standard clause.
  • Edit a clause.
  • Create a new clause (either a Web Standard Clause or a Web Alternate Clause).
  • Clone a clause (either a Web Standard Clause or a Web Alternate Clause).

Introduced Contract Term Type

A contract term type categorizes specific conditions within a contract based on their nature and duration. The Contract Term Type dropdown on the Contract Details page provides four options: Perpetual, Coterminous, Fixed Term, and Auto Renew.

Each contract term type dictates contract behavior when specific conditions are met, automatically activating, expiring, or renewing the contract.

Introduced the In-Effect View

The In-Effect View allows you to access essential information and contract data for contracts that are currently in effect. You can review contract details, clauses, and documents within this view. Additionally, you can track amendments to view combined data from both the original and amended contracts that constitute the in-effect contract at any given time.

The In-Effect View is available for contracts with a Status Category of In Effect and a Status of Activated, as well as for amended contracts.

You can see the following details in each section available in the In-Effect View:

  • In the Contract Details section, you can view the Contract Field, Value, Contract Number, and Updated By details.
  • In the Contract Clauses section, You can view the Clause Name, Contract Number, Updated By, and Updated On details.
  • In the Contract Document section, you can view the Contract Name, Contract Number, and No. of Docs details.

Join Documents

You can use the join documents feature to combine the latest versions of different contract documents. You can combine the documents in different formats (DOCX, DOC, and PDF formats) into one document before sending the documents for review or activating a contract. 

You can perform the following tasks before creating a joined document:

  • Provide a document name 
  • Select an output file type 
  • Select an output format
  • Select a protection level
  • Apply watermark
  • Add header and footer

Search Contract Documents

You can use the Search option on the left panel of the Contracts Home page to search content in CLM. This feature allows you to search for information without the need to understand the workings of CLM.

You can use keywords that are in the content of the contract documents to perform a search on the content in CLM. 

Add Line Items

A contract line item is a feature that allows you to add detailed information about a specific product or service to a contract. It includes essential details such as the product's name, pricing, quantity, and any other relevant information. Contract line items are essential for specifying the terms and conditions associated with each product or service within the contract, providing a comprehensive overview of the contract's components.

Configure a Default Signature Option

When sending documents for signatures, users have the following signature options:

  • DocuSign
  • Adobe Sign
  • Conga Sign
  • Wet Signature

You can configure a default signature option, simplifying the process for users who frequently send documents for signatures. To set a default option while still allowing users to choose a different signature method when needed, select the Active option during configuration.

By default, the Wet Signature option is configured as default and active. 

View Activity History

A negotiation cycle for a contract can run for weeks, months, or sometimes a year. It is difficult for end users like sales users, contract managers, and legal users to remember the changes that happened to a contract. The activity history feature allows you to track all the events and actions executed in a contract journey on the CLM Application. On the Activity History panel, you can view the user details of who executed the action on the contract along with the timestamp (date and time).

When you perform any of the following actions, you can see a record in the Activity History along with the version number for the document:

  • Generate a document
  • Regenerate a document
  • Import an offline document
  • Import a document using intelligent import
  • Generate a supporting document
  • Store an executed document
  • Upload a document
  • Join a document
  • Send a document for review
  • Share a document for Office 365 review as a link
  • Mark a document review as completed
  • Cancel a document review
  • Clone a contract

Enhancements

The following enhancements are new in this release.

Clauses Marked as Final

A source action (clause status) for a clause is updated to Final after the corresponding contract document is fully signed. 

New Fields Introduced on the Contract Form

When you choose the Fill out the form to create a contract option during contract creation, you see the following fields:

  • Contract Name
  • Account 
  • Contract Record
  • Contract Start date. 
  • Contract End date 
  • Total Contract Value 
  • Term months 
  • Primary contact 

Introduced the Contract Term Type Field

On the Contract Details page, you can use the Contract Term Type field to specify the term type for your contract. A contract term type categorizes specific conditions within a contract based on their nature and duration. 

The Contract Term Type dropdown on the Contract Details page includes:

  • Perpetual
  • Conterminous
  • Fixed Term
  • Auto Renew

Default Role in Document Format Setup

The Contract Administrator role is selected by default in the Select Role search box when configuring the Document Format Setup.

Fields Available on the Contract List Page

The following fields are available on the Contract List page:

  • Contract Name
  • Contract Number
  • Contract Type
  • Account 
  • Status Category
  • Status

Notify Stakeholders after Activation

Following contract activation, you have the option to notify stakeholders about the contract's activation. You can enter email addresses and customize the email subject and body for the notification. Additionally, you can choose the list of documents to include as attachments with the activation email.

Visibility of Templates

In the Select a Template popup, only 100 templates are visible at a time. You can use the search box to find a specific template. The popup appears when you:

  • Generate a contract document
  • Generate a supporting document
  • Regenerate a contract document

Removed Document File Format

From the Admin CLM Admin Set Up, the Document File Format is removed.

The following action buttons on the Contract Details page are renamed.

File Types Allowed to Import Documents

You can import documents in DOC, DOCX, PDF, PNG, RTF, and TXT formats. 

Document Selection During Activation

When activating a contract, you can choose which documents to activate from the Available Documents section. By default, the executed document is selected. Note that any documents not selected for activation are deleted after the contract activation.

Updated Send for Review Options

When you send documents for review use the following options:

Selecting Documents to Send for Review or Signatures

When you send documents for review or signatures, from the Available Documents section, you must select at least one document that has Contract Document as Document Type.

Availability of Action Button on the Contracts Details Page on Importing a Document

On importing a contract document, the status category is set to Import, and the status is set to Review in a Contract. At this stage, you can see the option to view the Go to CCI Documents button on the Contract Details page.

Default Document Protection 

When you send documents for review or signatures, the Document Protection Level dropdown is editable based on the document protection setting configured by your administrator. By default, the Insert comments and tracked changes only protection level is selected. 

View Contract Clause Text on the Contract Details Page

When you click Clauses in the LINKS section on the Contract Details page, you can see the clause details. When you select a clause, you can see clause text. If a clause text is modified, you can turn on the Show Changes toggle to view the changes in the clause text. If a clause text is modified multiple times, you can see multiple versions of the clause. You can select a version to view the changes in the clause text in that version.

Launch Conga Contract Intelligence from the Contract Details Page

You can import third-party or offline documents into CLM and run them through Contract Intelligence to extract data from them. You must have a Conga Contract Intelligence (CCI) license to launch CCI. When a contract has status category set to Import and status set to Review, you can click the Go to CCI Documents button on the Contracts Details page to launch CCI.

Perform Advanced Search in Clause Library

You can click the filter icon on the search box to perform an advanced search in the clause library. When you perform an advanced search on the available clauses, you can use the following fields to filter clauses:

  • Name 

  • Clause Type 

  • Contract Types 

  • Category 

  • Subcategory 

  • Language 

  • Updated by 

  • Updated on 

  • Keywords 

Enhanced User Experience

User experience is enhanced for the following features:

  • Sending documents for simple review
  • Sending documents for Office 365 review
  • Sending documents for wet signatures

Restriction for Office 365 Document Review

You cannot initiate a new review for the document that is already in review.

Select Email Templates

You can select an email template from the Email Template dropdown when you:

  • Send documents for simple review
  • Send documents for Office 365 review
  • Send documents for wet signatures
  • Activate a contract

Add Supporting Documents during Office 365 Review

You can use the Add Attachments option when you send documents for Office 365 review to add supporting documents. You can upload or drag and drop documents from your system to add supporting documents.

Provide Custom Prefix for Contract Number

You can generate a Contract number that is relevant to your organization or business function. You can use the Contract Number field in the General Setting to add a custom prefix to the contract number.

End Review Renamed to Finish Review

When you send documents for Office 365 review and need to complete the review, you see the Finish Review option instead of the End Review option.
