Use Case: Creating Ad Hoc Obligations on an Agreement

This use case describes how a contract manager manually adds a new obligation directly to an agreement record for a commitment that was negotiated outside of the standard clause-based obligation extraction flow.

  • The agreement has been created in Conga CLM.
  • The Agreement Obligations section is available in the Related tab of the Agreement record.
  • The Obligation object is set as Default On in the contract manager's user profile.

Business Context

Not all obligations in an agreement originate from pre-defined clause templates. During negotiation, parties may agree to commitments that are unique to a specific deal, such as a one-off compliance report, a custom delivery milestone, or a bespoke indemnification requirement. Without the ability to create ad hoc obligations directly on the agreement, these commitments would need to be tracked outside the system, increasing the risk of missed deadlines and compliance gaps. Ad hoc obligation creation ensures that every commitment, regardless of its origin, is captured and managed within the same structured workflow.

Overview

This use case demonstrates how a contract manager creates a new obligation directly from the Agreement Obligations section of an agreement record, without any linkage to a clause or template, and assigns it to an internal user for fulfillment.

Scenario

During negotiation of a Master Service Agreement, the counterparty requests an additional compliance reporting obligation that is not part of any standard clause template. The contract manager needs to capture this commitment directly on the agreement record so it can be tracked and fulfilled like any other obligation, without waiting for a new clause template to be created and linked. The contract manager adds a new ad hoc obligation directly from the Agreement Obligations section, specifying the obligation type, assignee, due date, and fulfillment details.

Actors

Contract Manager: Identifies the ad hoc obligation and creates it directly on the Agreement record, specifying the assignee, due date, and obligation details.

Assignee: Receives notification of obligation assignment and is responsible for fulfilling the obligation by its due date.

CLM System: Records the new obligation on the Agreement record and creates a fulfillment record upon agreement activation.

  1. Navigate to the agreement record and open the Related tab.
  2. In the Agreement Obligations section, click New to create a new obligation directly on the agreement.
  3. Select the appropriate obligation record type, for example, Compliance and provide the obligation name, description, due date, and assignee.
  4. Click Save.
The ad hoc obligation is created directly on the Agreement record and is immediately visible in the Agreement Obligations tab. The assignee is notified and can begin tracking and fulfilling the obligation within the same structured workflow used for all other agreement obligations, ensuring no negotiated commitment is managed outside the system.
