This feature is available for Conga CLM, but not for Conga CLM (Contracts for Salesforce)

The Clause Library is a repository of standard clauses. Your org administrator pre-populates the Clause Library with your legal team’s pre-approved terms and conditions for users to build contracts. You can insert clauses from the Clause Library directly into an agreement document and track and manage changes to clause content as negotiations proceed. You can also insert clauses with fields, without fields, and with segments. You can use the Clause Library to:

  • Search clauses
  • View clauses
  • Insert clauses

If you search for a clause that is already present in the document, OCC displays an "In Use" label for it, and the Insert option is not available for such duplicate clauses

You can insert clauses into the document from the clause library or insert them offline using MS Word (using XAC 1.0 or XAC 2.0). OCC can identify if the inserted clause needs approval. If so,  a Clause Approval Required tag shows at the top left corner of the clause, and a "Clause Inserted-Approval required" message shows at the top of the document. You can see a blue rubber stamp for the inserted clause and an Approval Required clause status in the Smart Data pane. Clicking the Clause Approval Required tag in the document or the blue rubber stamp in the Smart Data pane raises the approval process required to insert the clause. 

You must publish the document to send it for approval. After you publish the document, the blue rubber stamp changes to yellow and the clause status changes to Pending Approval in the Smart Data pane. The Clause Locked-Pending Approval tag shows at the top left corner of the clause in the document.

You can work with the Clause Library based on the access mode defined for your user profile. For more information, see Working with Different UI Modes.

Restrictions

  • You cannot insert a clause within a clause.
  • You cannot view or search alternate clauses in the Clause Library.

To search clauses in the Clause Library

  1. Open a document in OCC.

  2. Click the Clause Library icon ().
  3. Click the Clauses tab.
  4. Enter a search term or keyword in the search box.

  5. (Optional) Select filters to narrow search results.
    You can filter your clause search based on the clause Category, Subcategory, Locale, and Language.

  6. Click the Search button.
    Based on the search and filter criteria, the search results (clauses) are displayed and the search term is highlighted. You can click the Show Search hyperlink to review the search and filter criteria. An "In Use" label displays at the top right corner for clauses that are already present in the document.

To view a clause

  1. Select a clause from the search results and click the context menu ().
  2. Select View Clause from the dropdown to display the clause's text.
    This displays clause text.

To insert a clause 

  1. Put the cursor where you want to insert a clause in the document.
  2. Search for the clause in the Clause Library, select it and click the context menu ().
  3. From the dropdown, select Insert.

    The Insert option is not available for a clause that is already present in the document.

  4. Click the Insert Clause button in the right panel.
    The smart clause is inserted at the cursor. You can view the inserted smart clause and fields in the Smart Data pane. 

To insert a clause that needs approval

OCC can identify clauses that require approval if you insert them from the document in OCC or insert them offline (using a parallel review process, MS Word, XAC 1.0, or XAC 2.0). You must follow the approval process to insert such clauses. To insert the clause:

  1. Put the cursor where you want to insert a clause in the document.
  2. Search for the clause in the Clause Library, select it and click the context menu ().
  3. From the dropdown, select Insert.
    The right panel shows a processing icon with a message, "Checking for approval". After some time, the clause becomes visible with an Approval Required tag and an Insert button.

    The Insert option is not available for a clause that is already present in the document.

  4. Click the Insert button.
    The content in the right panel changes, showing "Clause insertion requires approval" and an Insert Clause button.
  5. Click the Insert Clause button.
    The clause is inserted as a smart clause at the cursor position. You must publish the document to send it for approval. For more information on how to send a clause for approval, see Working with Clause Approvals.
